AI Terms
Version dated October 16th, 2026
These AI Terms form part of the Agreement between Customer and Soda, together with Soda's General Terms and Conditions, Account Page, Pricing Page and Data Processing Agreement. Capitalised terms used but not defined in these AI Terms have the meanings given to them in the General Terms and Conditions. In the event of any conflict between these AI Terms and the General Terms and Conditions in relation to the AI Features, these AI Terms shall prevail.
General
Soda may offer features or tools as part of the Service that are powered by artificial intelligence, machine learning, or similar technologies (“AI Features”). AI Features may be delivered using models operated by third-party providers, models hosted or operated by Soda within its own environment (including open-weight or open-source models), or a combination of these, and Soda may select, add, replace or withdraw the providers and models used to deliver the AI Features from time to time. Some of the AI Features in Customer’s Account may be toggled on by default. Customer can adjust these settings at any time in Customer’s Account. Soda does not guarantee the availability of the AI Features at all times or in all geographical areas. Soda may also make changes to the AI Features or stop providing these as part of the Service at any time in its sole discretion.
BYOK
Where Customer uses AI Features with Customer's own API keys, provider accounts or model endpoints (including any model that Customer hosts or operates itself) ("BYOK"): (i) Customer's relationship with the relevant third-party provider is governed solely by Customer's own agreement with that provider, to which Soda is not a party; (ii) Customer warrants that its agreement with the provider permits use of its API keys with the Service, shall bear all fees charged by the provider, and is solely responsible for the configuration of its provider account or model (including any data-use, training, retention, regional or model-selection settings); (iii) Soda shall use Customer's API keys solely to provide the AI Features to Customer and shall treat them as Customer's Confidential Information; (iv) Soda is not responsible for the acts, omissions, performance, availability or data handling of the provider, nor for any unavailability of AI Features resulting from the revocation, expiry, usage limits or misconfiguration of Customer's API keys or provider account; (v) where personal data is transmitted to the provider under BYOK, the provider processes such data under Customer's agreement with the provider; and (vi) Soda supports BYOK only with the providers, models and integration methods that Soda makes available for that purpose from time to time, and Soda may add or withdraw support for a provider, model or integration method upon reasonable notice, in which case Customer may configure another supported provider or model. Soda gives no warranty as to the quality, consistency or availability of Output where Customer selects the provider or model.
Soda-Managed Configuration
Where Soda agrees to provide AI Features using Soda's own API keys, provider accounts or Soda-hosted models (a "Soda-Managed Configuration"), Soda may change the provider or model used, or withdraw or modify the Soda-Managed Configuration, upon reasonable notice to Customer. Whether AI Features are provided under a Soda-Managed Configuration or BYOK does not affect the SPUs consumed by the resulting operations, which are charged in accordance with the Account Page. Soda makes no separate charge for the use of the AI Features themselves; the only charges for AI-assisted operations are the SPUs consumed by those operations and, where applicable, any excess over the Usage Allowance under the section headed "Usage Allowance and charges" below.
Usage Allowance and charges
Where AI Features are provided under a Soda-Managed Configuration, Customer's use of those AI Features is included up to a cost to Soda equal to 1% of the annual Fees payable by Customer under this Agreement (the "Usage Allowance"). The Usage Allowance does not apply to BYOK; in that case the third-party provider or hosting costs are borne by Customer directly under Customer's agreement with the provider and Soda makes no charge for those costs. Where no Fees are payable, Soda may limit or suspend Customer's access to AI Features at any time. Soda may monitor Customer's use of AI Features and the associated costs incurred by Soda with third-party providers. If Customer's usage exceeds the Usage Allowance, Soda shall notify Customer and may: (i) invoice Customer for the excess usage at then-current rates; or (ii) suspend Customer's access to AI Features until such excess charges are paid or the Parties agree an increased Usage Allowance. Soda may modify the Usage Allowance or introduce additional usage-based pricing for AI Features upon reasonable notice to Customer, and any such change shall be treated as a change to the Fees for the purposes of, and subject to Customer's rights under, the "Fees and payment" section of this Agreement.
Soda-hosted and open-source models
For AI Features delivered using models hosted or operated by Soda within its own environment (including Soda’s internally developed models and any open-weight or open-source models operated by Soda), Prompts and Output are processed within Soda’s environment and are not shared with a third-party model provider. Customer acknowledges and agrees that Soda is entitled to use Customer’s and other customers’ Prompts in order to improve such models and the AI Features (including the conversion of prompts into checks, contracts or configuration), and to otherwise analyze, develop and improve the Service. Soda retains all rights in its own models and any improvements developed by Soda to those models or the AI Features, without affecting Customer’s rights in its Prompts or Output.
Third party providers
For Soda’s AI Features that are provided through third party model providers (for example OpenAI, Anthropic or such other providers as Soda may use from time to time), Customer acknowledges and agrees that, by using these AI Features, Prompts and Output will be shared with and processed by the relevant third party provider to enable Customer’s use of the AI Features. Third party providers process Prompts and Output under their own terms and policies, which may permit the provider to use them to train or improve its models. Where applicable, Customer also acknowledges and hereby instructs Soda to send information such as metadata (e.g. schema information) to the third party provider(s) together with the Customer’s Prompts in order to improve the quality of the Output. Customer’s use of these AI Features may be subject, in addition to the General Terms and Conditions and applicable law, to obligations and restrictions set forth in the terms and policies of the third party providers. Customer will not violate any of these terms and policies and takes sole responsibility for complying therewith. ALL THIRD-PARTY SOFTWARE/SERVICE IS/ARE MADE AVAILABLE ON AN “AS IS” BASIS AND WITHOUT WARRANTY OF ANY KIND, AND CUSTOMER IS SOLELY RESPONSIBLE FOR THE USE THEREOF. Customer’s breach of these AI Terms constitutes a material breach of the Agreement.
Prompts and Output
Customer is solely responsible for the data, text, or other content uploaded or submitted by Customer to the AI Features (“Prompts”) as well as the data, text, or other content generated by the AI Features based on Customer’s Prompts (“Output”). Customer’s use of the AI Features, including Customer’s Prompts and Output, must comply with the General Terms and Conditions and with applicable law and must not violate or infringe any rights of any third party. CUSTOMER SHALL INDEMNIFY AND HOLD SODA HARMLESS FROM AND AGAINST ANY CLAIM BROUGHT BY A THIRD PARTY AGAINST SODA AS A RESULT OF CUSTOMER’S USE OF THE AI FEATURES.
Customer agrees that it will not include any personal or sensitive data in any Prompts to AI Features. Customer may not use AI Features for automated decision-making processes with legal effects.
Customer acknowledges that Output may not be unique across users and that the AI Features may generate the same or similar Output for a third party. Customer also acknowledges that Output may not be accurate or reliable. Customer shall review all Output before using it. Soda makes no warranty or guarantee as to the accuracy, completeness or reliability of the Output and does not accept any liability or responsibility arising in any way from Customer’s use of the Output or any omissions or errors contained in the Output.
